1. About These Terms

These Terms & Conditions ('Terms') govern your use of Headline Access, operated by Ian Turner, registered in the United Kingdom ('we', 'us', 'our'). By registering for or using Headline Access, you agree to be bound by these Terms in full.

If you do not agree to these Terms, you must not use our services.

These Terms are governed by the laws of England and Wales.

2. The Service

Headline Access is a paid online membership community that connects small business owners with journalists, TV producers, and podcast hosts. The platform enables business owners to respond to live source requests from media professionals and journalists to post those requests.

Journalists join and use the platform free of charge. Business owners pay a monthly membership fee in accordance with the pricing set out in Clause 4.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to members.

3. Eligibility

To use Headline Access, you must:

• Be at least 18 years of age
• Be a genuine small business owner (if registering as a business owner member) or a genuine journalist, editor, producer, or podcast host (if registering as a journalist member)
• Not be a public relations agency, PR professional acting on behalf of a client, or marketing agency of any kind
• Provide accurate and truthful information when registering
• Not be prohibited from using the service under applicable law

We reserve the right to verify your eligibility and to refuse or terminate access if these requirements are not met.

4. Pricing and Payment

4.1 Standard Membership

The standard monthly membership rate for business owners is $29 USD per month ('Standard Rate').

4.2 Founding Member Trial

The first 50 business owner members ('Founding Members') receive a 60-day free trial of Headline Access at the Standard Rate of $29 USD per month. A valid payment method is required at signup. No charge is made until day 60 of the trial period.

At the end of the 60-day trial, your subscription will automatically convert to the Standard Rate of $29 USD per month unless you cancel before day 60. Once 50 founding member seats have been claimed, the 60-day trial will no longer be available to new members.

4.3 Billing

Payments are processed monthly in advance via Stripe, Inc. By providing your payment details, you authorise us to charge the applicable membership fee on a recurring monthly basis until you cancel.

All prices are quoted in US dollars (USD). As a UK-based operator receiving USD payments, currency conversion is handled by Stripe. You are responsible for any bank fees or foreign exchange charges applied by your card issuer.

4.4 Failed Payments

If a payment fails, we will attempt to collect the outstanding amount. If payment remains outstanding after reasonable attempts, we reserve the right to suspend or terminate your access to the service.

5. Cancellation and Refund Policy

5.1 Founding Trial Members

If you are a Founding Member on the 60-day free trial, you may cancel at any time before day 60 and you will not be charged. To cancel, email hello@headlineaccess.com or manage your subscription through the payment link provided by Stripe.

5.2 Paying Members

If you are not satisfied within the first 7 days of your first paid subscription charge, you may request a full refund. To do so, email hello@headlineaccess.com within 7 days of your first payment. Refunds are processed within 10 business days via Stripe.

After the 7-day period, no refunds are issued for the current billing month. You may cancel at any time to prevent future charges.

6. Cancellation

You may cancel your membership at any time. Cancellation takes effect at the end of the current billing cycle. You will retain access to the service until that date.

To cancel, email hello@headlineaccess.com or manage your subscription through the payment link provided by Stripe. Cancellation instructions will also be available on the platform.

We do not offer pro-rata refunds for partial months following the applicable guarantee or trial period.

7. Acceptable Use

7.1 All Members

All members agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation
• Post content that is false, misleading, defamatory, harassing, abusive, threatening, or discriminatory
• Spam other members or send unsolicited commercial communications
• Attempt to access other members' accounts or any part of the platform without authorisation
• Reproduce, distribute, or commercially exploit platform content without our prior written consent
• Use automated tools, bots, or scrapers to extract content from the platform
• Impersonate any person or entity, or misrepresent your affiliation with any organisation
• Post content that infringes any third party's intellectual property rights

7.2 Business Owner Members

Business owner members additionally agree to:

• Respond only to journalist requests that are genuinely relevant to their business and expertise
• Provide accurate, honest, and non-misleading information in all responses to journalist requests
• Not use the platform to pitch or sell products or services to journalists outside the context of a genuine source request
• Not represent themselves as a PR agency or work on behalf of any third party business without disclosure

7.3 Journalist Members

Journalist members additionally agree to:

• Post source requests only for genuine editorial, journalistic, broadcast, or podcast purposes
• Not use the platform to solicit paid placement, advertorials, or commercial arrangements
• Treat business owner members with professional respect
• Not post requests on behalf of PR agencies or commercial clients

8. Content

You retain ownership of any content you post on the platform ('User Content'). By posting User Content, you grant us a non-exclusive, royalty-free, worldwide licence to display and distribute that content within the platform for the purposes of operating the service.

You are solely responsible for any User Content you post. We are not responsible for the accuracy, completeness, or reliability of any User Content posted by members.

We reserve the right to remove any User Content that, in our reasonable opinion, violates these Terms or is otherwise harmful, without notice.

9. Moderation and Termination

We reserve the right to suspend or terminate your access to Headline Access, with or without notice, if:

• You breach any provision of these Terms
• You are found to be a PR agency, marketing agency, or representative thereof
• You provide false information during registration
• Your conduct is, in our reasonable opinion, harmful to the community or its members
• Required by applicable law

In cases of material breach (including misrepresentation as a non-agency member), termination will take immediate effect and no refund will be issued.

10. Intellectual Property

All intellectual property rights in the Headline Access platform, website, brand, and content created by us ('Our Content') belong to Ian Turner, Headline Access. You may not reproduce, distribute, or adapt Our Content without our prior written consent.

The Headline Access name, logo, and branding are proprietary. You may not use them without our express written permission.

11. Disclaimers

Headline Access is a connection platform. We do not guarantee that:

• Any journalist will respond to or use information you provide
• You will secure press coverage, media appearances, or any other specific outcome
• The platform will be continuously available or free from technical issues
• Journalist members are employed by or affiliated with any specific publication

Any results or testimonials referred to on our website represent individual outcomes and are not a guarantee of what any particular member will achieve.

The service is provided 'as is' and 'as available'. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by applicable law, our total liability to you for any claim arising out of or in connection with these Terms or your use of the service will not exceed the total subscription fees paid by you in the 12 months preceding the claim.

We will not be liable for any indirect, consequential, incidental, or special losses, including loss of business, loss of profits, loss of reputation, or loss of opportunity, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

13. Third-Party Services

Headline Access integrates with third-party services including Stripe (payments) and Kit (email). Your use of those services is subject to their own terms and privacy policies, which we encourage you to review. We are not responsible for the practices, content, or services of any third party.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this document. Where changes are material, we will provide at least 14 days' notice by email or a notice on the platform before changes take effect. Continued use of the service after notice constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you may cancel your membership before the changes take effect.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

We aim to resolve any complaints or disputes informally in the first instance. To raise a concern, email hello@headlineaccess.com. We will acknowledge your complaint within 5 working days and aim to resolve it within 30 days.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the subject matter hereof and supersede all prior agreements, representations, and understandings.
